Terms of Service

1. Acceptance of Terms

By accessing or using the Curia Systems website located at www.curiasystems.com (the “Site”) and any applications, tools, or services accessible through the Site—including but not limited to the payment portal (www.curiasystems.com/payment), parking services (www.curiasystems.com/parking), the Judicial Case Management System (www.curiasystems.com/jcms), and any other current or future sub-applications (collectively, the “Services”)—you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Site or Services.

We reserve the right to update these Terms at any time. Changes become effective upon posting to the Site. Your continued use of the Site or Services following any modifications constitutes acceptance of the revised Terms.

2. Description of Services

Curia Systems is a technology solutions provider based in East Greenwich, Rhode Island, serving businesses and municipal organizations. Our Services include but are not limited to:

• Web application development and hosting
• Online payment processing for municipal fines, fees, and other obligations
• Mobile parking solutions
• Judicial and probate case management systems (JCMS)
• Housing case management
• Cloud services, data analytics, and other IT solutions

The specific features and functionality of each Service may vary and are subject to change without prior notice.

3. Eligibility

The Site and Services are intended for use by individuals who are at least eighteen (18) years of age. By using the Site or Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

4. User Accounts

Certain Services, such as the Judicial Case Management System (JCMS), require user accounts. These accounts are created and administered by authorized municipal or government staff. If you are provided with account credentials, you are responsible for maintaining the confidentiality of your login information and for all activity that occurs under your account. You agree to notify your system administrator and Curia Systems immediately of any unauthorized use of your account.

For Services that do not require an account, you may use the Services as a guest. You are still bound by these Terms during guest usage.

5. Payment Processing

Curia Systems facilitates payment processing on behalf of municipal organizations. When you submit a payment through our Site or Services:

• Payments are processed through our third-party payment processor, Authorize.net.
• Curia Systems does not store your credit card number or full payment card details on our servers. Payment information is transmitted directly to Authorize.net for processing.
• Curia Systems may appear on your credit card or bank statement as the merchant of record for payments processed on behalf of municipalities.
• All payments are final unless otherwise specified by the applicable municipality. Refund policies are determined by the municipality for which the payment is processed.

By submitting a payment, you authorize the charge to your designated payment method for the amount specified.

6. Acceptable Use

You agree not to use the Site or Services to:

• Violate any applicable local, state, federal, or international law or regulation.
• Transmit any material that is unlawful, threatening, abusive, defamatory, or otherwise objectionable.
• Attempt to gain unauthorized access to any Service, account, computer system, or network connected to the Site.
• Interfere with or disrupt the Site, Services, or servers or networks connected to the Site.
• Use any automated system, including bots, scrapers, or crawlers, to access the Site or Services without our express written permission.
• Attempt to reverse engineer, decompile, or disassemble any software or technology used in providing the Services.
• Impersonate any person or entity or misrepresent your affiliation with any person or entity.

7. Intellectual Property

All content, design, graphics, software, and other materials on the Site and within the Services (collectively, “Curia Content”) are the property of Curia Systems or its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws.

You may not copy, reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any Curia Content without the prior written consent of Curia Systems.

8. Third-Party Services and Links

The Site and Services may integrate with or contain links to third-party websites, services, or content. Curia Systems utilizes the following third-party service providers in connection with the Services:

• Authorize.net – Payment processing
• Microsoft Azure – Cloud hosting and infrastructure
• Google Analytics – Website analytics and usage tracking

Curia Systems is not responsible for the content, privacy practices, or availability of any third-party services. Your use of third-party services is governed by their respective terms and policies.

9. Disclaimer of Warranties

THE SITE AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

CURIA SYSTEMS DOES NOT WARRANT THAT THE SITE OR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR TIMELINESS OF ANY INFORMATION PROVIDED THROUGH THE SITE OR SERVICES.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CURIA SYSTEMS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SITE OR SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY.

IN NO EVENT SHALL THE TOTAL LIABILITY OF CURIA SYSTEMS EXCEED THE AMOUNT PAID BY YOU, IF ANY, TO CURIA SYSTEMS DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Curia Systems, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the Site or Services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your violation of any rights of a third party.

12. Municipal and Government Client Relationships

Curia Systems provides Services to various municipal and government organizations. Where the Services are offered on behalf of a municipal client, the applicable municipality may have additional terms, policies, or regulations that govern your use of those Services. In the event of a conflict between these Terms and the policies of a municipal client, the municipal client’s policies shall control with respect to the specific municipal Service.

13. Service Availability and Modifications

Curia Systems reserves the right to modify, suspend, or discontinue any part of the Site or Services at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Site or Services.

We may also perform scheduled or unscheduled maintenance that may temporarily affect the availability of the Site or Services.

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Rhode Island, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in the State of Rhode Island, and you consent to the personal jurisdiction of such courts.

15. Dispute Resolution

In the event of any dispute arising out of or relating to these Terms, you agree to first attempt to resolve the dispute informally by contacting Curia Systems at sales@curiasystems.com. If the dispute cannot be resolved informally within thirty (30) days, either party may pursue formal legal proceedings as described in Section 14.

16. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Curia Systems regarding your use of the Site and Services and supersede all prior agreements, understandings, and communications, whether written or oral.
